1. Acceptance of Terms

By accessing or using Miatrix, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the service. Continued use after any changes constitutes your acceptance of the updated terms.

2. Use License

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use Miatrix's data solely for your personal, non-commercial use. This is a license, not a transfer of ownership. You may not:

• Modify, copy, distribute, or create derivative works from the data;
• Use the data for any commercial purpose or public display;
• Remove any copyright, trademark, or proprietary notices;
• Mirror or republish the data on another server or service;
• Reverse engineer, decompile, or attempt to access the underlying systems or database.

3. User Accounts and Security

Certain features require an account. You are fully responsible for:

• Maintaining the confidentiality of your account, password, and API key;
• Restricting unauthorized access to your devices and account;
• All activities that occur under your account;
• Keeping your registration information accurate and up to date.

4. Billing and Memberships

Miatrix offers a 2-week trial with limited access, as well as paid memberships (Member, VIP, Lifetime, and Lifetime Extra). All paid memberships are one-time payments with no automatic renewal. Lifetime memberships remain valid for the lifetime of the service. Access levels and features vary by plan.

Refunds for memberships are at the sole discretion of Miatrix. We reserve the right to modify, suspend, or discontinue any plan or pricing at any time.

5. Acceptable Use

You agree not to use Miatrix to:

• Transmit viruses, malware, or other harmful code;
• Attempt unauthorized access to any part of the service;
• Interfere with or disrupt the service, servers, or other users;
• Use automated tools, scripts, or bots that exceed reasonable human-level request rates or published API limits;
• Use third-party tools, proxies, or services that abuse, scrape, or place excessive load on Miatrix;
• Use VPNs, proxies, or anonymizers to circumvent our monitoring or restrictions;
• Build a competing service or indexer using data or insights obtained from Miatrix.

Note: Use of any tools or services known to abuse Miatrix (including excessive API requests or scraping) will result in account termination.

6. Content and Copyright

You are solely responsible for any content you access through Miatrix. Miatrix does not host, store, or control Usenet content and disclaims all liability for it.

We respect intellectual property rights and will respond to valid copyright infringement notices that comply with applicable law (including DMCA).

7. Privacy

Your use of Miatrix is also governed by our Privacy Policy.

8. Disclaimer of Warranties

Miatrix and all data are provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

9. Limitation of Liability

In no event shall Miatrix, its owners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of data, profit, or business interruption) arising from your use or inability to use the service.

Our total cumulative liability to you, for any reason and under any theory, shall not exceed the greater of USD $100 or the total amount you have paid to Miatrix in the twelve (12) months immediately preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Miatrix, its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your breach of these Terms; (ii) your misuse of the service or API; or (iii) any content or activity that occurs under your account.

11. Account Termination

We may terminate or suspend your account and access to Miatrix at any time, with or without notice, for any reason, including breach of these Terms or to protect the service.

12. Changes to Terms

We may update these Terms at any time. Material changes will be notified via the website or email where reasonably practicable. Your continued use of Miatrix after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Texas.

14. General Provisions

If any provision of these Terms is found invalid, the remaining provisions remain in full force. These Terms constitute the entire agreement between you and Miatrix regarding the service.
